Corporate secretaries are the lead people who administer board evaluations, conduct corporate governance audits, help to resolve succession planning issues and assist directors with education, training and orientation programs. Corporate secretaries play an integral role in collaborating with the executive team.

RECRUITING MANAGERS

If each member does their part and offers recruits to become Manager/Director/VP positions to each person, each member should be gaining at least 2-members each month, so that by 12 Months; there’ll be at least 20 new members joined in each person’s downline.

COMMISSION EARNINGS
If anyone of your immediate downline purchases any products you earn 30% uncapped-commissions (otherwise 15% commission + capped salary equivalent to 15% estimated-commission). This is to be further reviewed or discussed.

THE DIRECTORS

Note: Being a Top-Tier Director, it becomes you who will collaborate with the Board Of Director (BOD) members, for over some time by creating all the bylaws of the corporation. Bearing in mind that, once all things are accepted and you have accepted the various terms of the corporation, as a shareholder agreement, it also means you are an owner and all the responsibilities of the company potentially can become yours as well, being a corporation, and same as to those whose specific duties are assigned.

Nevertheless, you also have a responsibility as you’ll have a vote where we must all come to a resolution or fix the matter(s) at hand or on the table. What all that means is that, All of the positions of the company also belong to you as managing directors.

CORPORATE SECRETARY (CS):

This is one position where the incumbent(s) are largely required to be abreast with all of the responsibilities of all the directors and is quite a lot of work for managing effectively. Nevertheless, should you feel that is where you’d wish to have your shares accumulated, then submit your resume and application.

By the title of Corporate Secretary, you’ll learn about all the things as the company’s policy and terms and you’ll be required to be as one of the managing directors in Top-tier office as we grow.

Your position will be same as that of RVP, but much more. You’ll be required to know as much and more than the President knowing of the company’s bylaws and the legal aspects as they relates to corporate laws requirements. You’ll be eyes, ears, and hands to the president in all aspects of the corporations office management.

You’ll need to be a very strong contributor, influencer, delegator, trainer, Legal documents producer, writer and up keeper of our internal bylaws and of the overall business office and staff management.

You’ll be responsible for maintaining our corporate resolution and Minutes Book, You’ll decide on when or who to hire or not to hire and to even create job position and description as necessary.

  • You (the incumbent CS) are to observe all contents for guiding the company.
  • As CS you will be the Keeper of all corporate documents for the company both online and offline/Ontario.
  • You’ll be the keeper of its Corporate Minute-book being the CS/Ontario.
  • Everything that has to do with the Ontario Corporation Bylaws for its Corporations, such as BAWT Inc., must first pass through your hands to approve all things and to confirm with the President & Co-founder Sr.Exec/RVP (IE: Michael Blackhall & Fareeha Khan) prior to its presentation to the board of directors (BOD) by the instruction of the President (or by the Co-founder/Sr.Exec/RVP under instructions from the President/CEO).

LINES OF COUNSELLORS

You (the incumbent CS) will be one of our first line of (the #1 group) counsellors even as you’ll be one of the owners of the company and linking to the company by ownership of (no charge) shares.

COURSES

You (the CS) will be required to take courses relative to Ontario-Bylaws, which the company will provide you with some reimbursements as are necessary, as incentives for the benefit of the company, which will be explored later on.



HANDLING E-DOCUMENTS

Being a CS it means that all things belonging to the corporation require to pass through you and you are to see that all things are kept in the corporate minute book. The CS will need to be extremely familiar with MS Office (Documents, Sheets, PP etc).

BOD MEETINGS & MINUTES BOOK

A CS has to know regarding all the legal aspects of what it takes to manage our board of directors meetings, maintain the Minutes-book, manage all office mandates, progressive matters of the corporation and to update them to the President.

CS & BOARD MEETING

As a New Start up: The CS are required to appoint and conduct weekly BOD meeting once we have formed our board to a minimum complement of directors. There is a lot to learn before we are able to be listed on the stock market and on the daily news, for that’s our heading and inevitably so as all teams working upholding their tasks.

CS AND THE JV-CEEA

The CS will be responsible for planning all meetings and travel itineraries. CS(s) will be required to take a course (Cost Reimbursed) to be TICO certified, as our business is about selling Vacation Cultural-Excursions and broadly operating within the Travel & Tourism Industry which require certification in most countries.

TOP-TIER CAREER TITLE OF CS

CS(s) Will have a year to practice before accepting or declining in that time.

Being a most multicultural and multi-nationally focused organization, it’s our plans that there will be several CS(s). Most of the new CS(s) will most likely to still be in studies for some time and for growing in their career positions, while developing in the organization as shareholders.

TOP-TIER OFFICES MEMBERS GOALS

Our goal is to progress each member towards RVP offices by the concept of the company,

Within a year, members by then should be easily promoted to one of our Regional Vice Presidents offices.
